成立信托结构的主要诱因如下： _Key drivers for establishing trust structures are as follows:
(_1_)_ _首次公开发售前信托结构： _
Pre-IPO Trust Structures:
(i) Employee Retention – Provide a mechanism for awarding shares to employees and thereby attract and retain high performing staff; 挽留雇员 _— _首次公开发售前信托结构给公司提供一项向雇员赠予股份的机制，以吸引、奬励和挽留表现优秀员工； _
(ii) IPO Transaction Continuity – Provide a stable ownership platform and help to avoid potentially complex share transfer, tax or probate issues in the event of the divorce or death of a major shareholder prior to IPO; 首次公开发售交易持续性 _— _首次公开发售前信托结构提供一个稳定的所有权平台，如有主要股东在首次公开发售前发生离婚或身故的情况，便能避免潜在的复杂股份转让、税务或遗嘱认证事宜； _
(iii) Confidentiality and Security – Add a layer of confidentiality and security for clients; 股东隐密性及安全性 _— _为客户增设一层保密及安全保护； _
(iv) Control of Assets – Permits the founder to retain a degree of control over the pre-IPO assets by establishing a Private Trust Company (PTC) to act as trustee; and 资产的管理权 _— _信托的创立人通过设立一家以受托人身分行事的私人信托公司，使其对首次公开发售前资产保有高度管理权；和 _
(v) Simplification of Shareholding – Permits shares to be held by a single shareholder for the benefit of many individuals; 简化持股情况 _— _信托结构允许其股份由一名单一股东为多个个人的利益持有该等股份.
(_2_)_ _家族信托结构： _
Family Trust Structures:
(i) Stability – Provides a stable ownership platform and helps to avoid potentially complex share transfer, tax or probate issues in the event of the divorce or death of the founder; 首次公开发售交易持续性 _— _家族信托结构提供一个稳定的所有权平台，如有发生创立人离婚或身故的情况，便能避免潜在的复杂股份转让、税务或遗嘱认证事宜;

Case Study 1: Pre-IPO Trust (Jersey Trust with Jersey Trustee and Hong Kong based Administrator)

Client: Guangzhou based property developer and hotelier with real estate assets across China.

Business Plans: Client intends to list the Cayman entity which owns the China business on the Hong Kong Stock exchange in 2016.

Requirement: Establish a trust structure whereby the founder transfers 15% of the Cayman list company’s shares to a licensed trustee. The trustee will then overtime grant shares to employees in accordance with a Share Plan Agreement.
