•When US companies named, what I need to pay attention to?
• 在美国注册公司时对公司的名称没有任何限制。 您可以在公司名称后面冠以CORP(CORPORATION),
LTD(LIMITED),INC(INCORPORATED)或CO(COMPANY)， CO.,LTD,等字样; 为了避免重复，申请人最好提交3个以上的英文公司名称， 通过查册后， 公司名称可以是集团、 公司、 大学、 学院、 研究院、协会、商店、工厂等等任何名称。 您可以在公司名称后面冠以“协会Association” ，“公司company” ，“社团/有限公司corporation” ，“基金会Foundation” ，“基金Found” ，“组织Incorporated” ，“学会/学院Institute” ，“公会 Society” ，“联邦/联盟Union” ，“企业联合/财团Syndicate” ，“有限公司Limited” 或其缩写， 名称不可和已注册公司或预留名称相同或相近。
•When registered company in the US with no restrictions on the name of the company. after
the name of the company you can suffix with CORP (CORPORATION), LTD (LIMITED), INC
(INCORPORATED) or CO (COMPANY), CO, LTD, and so forth; in order to avoid duplication,
the applicant should better submit three or more English names of the company,after the
search,the name of the company can be group,company,university,college,research institute,association,shop,factory and so on should be any name. after the name of the company you can suffix with "Association","company","Community/Corporation",
"Foundation","Found","Incorporated","Institute", "Society ","Union ","Syndicate", "Limited"
or its abbreviation, the name of the company should not the same or similar with the
registered company or reserved name.
• 或者， 可以有限责任公司只能以LimitedLiabilityCompany， 简称“LLC” 结尾。
·Alternatively, you can only with Limited Liability Company, referred to "LLC" at the end.

- 需要准备材料
• 1、 股东、 董事身份身份证复印件
·1. Shareholders, directors identity card photocopy;
• 2、 如需要开户， 需要地址证明

• 3、 填写注册公司确认单、 签署协议文件；
·3. Fill in the confirmation list of the registration company, signed an agreement of file;
• 4、 交付50%定金；

• 5、 本公司到政府各部门办理手续；

• 6、 再递交文件后第25个工作日左右可以在美国州政府网站上查询到公司信息

即递交公司文件后一个月内， 公司已经审批商标和税号条形码都已经办理完成。
如加急公司7-10个工作日 ， 税号， 商标， 条形码都可以完成，但4项加州加急费用是800美金， 纽约是400美金。

- 填表注意事项
• 1、 拟定注册美国公司名称， 核名如无重复则可使用；
• 1. Registered the Name of the Company check the name if no repetition can be used;
• 2、 美国公司的经营范围；
• 2. The scope of business of the US company;
• 备注： 经营范围： 在美国注册的公司对公司的经营行业及经营项目并没有太多的限制。 因此， 您所注册的美国公司可以经营任何合法的商务业务。 但由于一般公司的经营范围只有一行字的限制（大约为40个英文字符） ， 故请写最重要的经营范围。
Note: Business scope: Companies registered in the US and not too many restrictions in the
operations industry and business projects of the company,. Therefore, the company you have

scope of general company only limit one line of the word (about 40 English characters),
so please write the most important business scope.
• 3、 提供董事、 股东名称， 护照或身份证复印件， 联系电话/传真；
• 3. Provide the name of director, shareholders, passport or ID card, copy telephone or fax;
• 4、 提供至少一位董事、 一位股东分配比例；
• 4. Provide distribution ratio at least one director, one shareholder;
• 5、 注明每个股东所占股份的百分比（ %） 。

- 美国公司注册申请税号
• 美国联邦税号,也叫雇主识别号
•US Federal Tax ID, also called employer identification number
• 英文EMPLOYER IDENTIFICATION NUMBER。

• 需要有美国SSN的人， 向美国国税局（ IRS) 递交SS-4表格， 进行申请。

• EIN由联邦国税局分配给美国公司专用的。

• 此报税号码是用来辨认美国公司也是今后公司成立， 开设银行公司账户和报税所要提供的材料之一，办理时间在7个工作日左右
